PTA Approves PTCL’s $400m Acquisition of Telenor Pakistan

The Pakistan Telecommunication Authority (PTA) has granted formal approval to PTCL’s $400 million acquisition of Telenor Pakistan, issuing a no-objection certificate (NOC) that allows the merger to move forward.

The deal will combine PTCL’s mobile subsidiary, Ufone, with Telenor Pakistan, resulting in the country’s second-largest mobile network operator.

PTA said it carried out a comprehensive assessment of the transaction, focusing on its implications for market competition and consumer welfare. The regulator stressed that both operators are required to uphold service quality, comply with licensing conditions, and ensure uninterrupted connectivity throughout and after the integration.

The authority added that it will continue to closely supervise the merger process to safeguard competitive balance in the telecom sector.

Industry analysts note that the consolidation is expected to improve operational efficiency by pooling resources at a time when telecom operators are facing rising costs and increasing regulatory demands.

For customers, the merger could lead to faster network expansion and the rollout of new services, as the combined entity draws on the strengths of both networks.

Experts also believe the move may heighten competition with Jazz, Pakistan’s largest mobile operator, potentially driving improvements in service quality and pricing across the market.

Following PTA’s approval, PTCL is now positioned to formally assume control of Telenor Pakistan and begin the integration of networks and services in the months ahead.
